Priorto operates as an independent brand with full ownership of its technology, quality systems, and customer relationships. Governance is not a bureaucratic overlay—it is the framework that ensures every strategic decision, from product architecture to market entry, serves one fixed reference point: patient safety.

Since its founding in 2010, Priorto has maintained a lean but rigorous governance structure. Shareholders appoint a Board of Directors responsible for strategic oversight. The Board brings together expertise in critical care medicine, surgical technology, biomedical engineering, and global regulatory affairs—ensuring that product decisions are grounded in clinical reality, not commercial convenience.

Specialized committees operate within the Board in proportion to the scale of the company.

Audit Committee Oversees financial reporting, internal controls and external audits. Financial integrity supports clinical integrity.

Nomination Committee Maintains the right mix of skills and independence on the Board and identifies members who understand acute care.

Compensation Committee Aligns executive rewards with long term value creation including system uptime, customer satisfaction and patient safety.

The Board appoints executive officers to carry out the strategic vision. Internal groups support them, including a Clinical Safety and Technology Committee that reviews device performance, alarm accuracy and event reports, and a Risk and Compliance Panel that manages regulatory changes, supplier audits and field corrections. An independent Internal Audit team reports to the Audit Committee.

Based in Shenzhen, Priorto applies these governance principles across all markets. A lean structure does not weaken governance. It means every decision is visible, every risk is owned and every leader is accessible.

Governance is not a chart. It is a commitment to the people who depend on Priorto systems, including patients awaiting stabilization, intensivists reading every waveform, nurses operating equipment and administrators managing limited resources.

The Board of Directors

Priorto is led by its founders and an executive team, with strategy reviewed by a Board of Directors. The Board ensures that long term plans for products, technology and markets stay aligned with core values and patient safety.

The Board assigns oversight to a Clinical Safety and Technology Committee. This group reviews device events, alarm accuracy issues, inspection findings and MRI safety concerns. It meets four times a year and reports to the full Board. For a company of this size, this keeps quality and safety above commercial pressure.

Governance Principles

Three anchors guide all decisions, transparency, accountability and strong focus on patient safety. Design reviews, supplier choices, field corrections and post market checks are documented and traceable. Accountability extends to the clinicians who depend on every waveform and alarm.

Risk Management and Compliance

Priorto works under a certified quality system based on ISO 13485. Risk management follows ISO 14971 with attention to acute care hazards including electrical safety, ventilator performance, hemodialyzer safety, infusion accuracy and MRI conditional safety.

Registrations in China, the European Union and other regions are maintained directly by Priorto. Regulatory changes are monitored continuously. Compliance is daily discipline through document control, training and process consistency.

Because Priorto controls its technology and manufacturing, it also controls supplier qualification. The program includes yearly on site audits with focus on ISO 13485 and acute care standards. No part enters a Priorto system without internal verification.

Stakeholder Engagement

We work closely with intensivists, surgeons, dialysis nurses, respiratory therapists, administrators, engineers, distributors, regulators, employees and manufacturing partners. Engagement includes clinical advisory groups, surveys after installation, open channels for field reports and regular reviews with factory partners. We are an accessible team and we listen because listening leads to real improvement.
